• Market approach: Compares the business to sales of similar companies to estimate fair market value
• Asset-based (cost) approach: Calculates value by subtracting liabilities from total assets, commonly used for holding companies or asset-heavy entities

A forensic accountant or certified business valuation professional typically prepares the analysis. A review of bank statements alone won’t satisfy the court’s expectations in a contested case.

Enterprise Goodwill vs. Personal Goodwill Under Florida Law

One of the most consequential distinctions in Florida business valuation law separates enterprise goodwill from personal or professional goodwill. Enterprise goodwill is the value tied to the business itself, its brand, systems, customer relationships, and workforce. Because it’s transferable to a buyer, it’s treated as a marital asset subject to equitable distribution.

Personal goodwill, by contrast, is value tied to the individual owner’s reputation, skill, and relationships. Florida courts, following the framework established in Thompson v. Thompson, 576 So.2d 267 (Fla. 1991), generally exclude personal goodwill from the marital estate. The line between the two isn’t always obvious, and how a forensic accountant categorizes goodwill can shift the valuation by a substantial amount.

The marital-versus-separate-property question also applies to ownership itself. A business started before the marriage may still carry a marital component if its value grew during the marriage through marital funds, a spouse’s labor, or shared sacrifices. I examine the full history of the business to identify what portion of its current value belongs in the marital estate.
